1) Agreement to These Terms
By accessing or using Omni's websites, dashboards, apps, and related services (the "Services"), you agree to be bound by these Terms of Use (the "Terms"). If you accept on behalf of an entity, you represent that you have authority to bind that entity.
2) Eligibility & Accounts
- Who may use. Our Services are available to businesses and individual creators within the Territory.
- Minimum age. You must be 18+.
- Account security. You are responsible for your account and must keep credentials confidential.
- Seats. One natural person per seat. We offer team or agency plans that allow granular control and multiple seats under one customer account.
3) Platform Scope & Integrations
- Instagram via Meta's official APIs only. To use DM, liking, and related features, you must connect your own Instagram account(s). You authorize Omni to act on your behalf within the capabilities you enable.
- You must comply with third-party terms (for example, Meta/Instagram terms, community standards, rate limits). Omni is not liable for platform enforcement actions, rate-limit changes, or account flags or blocks.
4) Plans & Features (summary only)
Live plan names, inclusions, and prices shown on our site control. Examples include:
- Omni Lite. Outbound technology plus HyperTarget for Instagram and up to 50 daily DMs.
- Omni Presence. 20 edited clips per month, 50 daily DMs, and editor support.
- Omni Max. 40 edited clips per month, 100 daily DMs, 5,000 story likes, with Liker & Responder built in.
We may add, change, or discontinue features or plans at any time with notice as described in Section 17.
5) Billing, Renewal, and Refunds
- Monthly only. Subscriptions bill monthly and auto-renew until you cancel. You authorize recurring charges to your payment method.
- Price changes. We will notify you in-app and by email at least 30 days before a material increase; changes take effect at the next renewal.
- Fees & taxes. Processing fees and applicable taxes are added to listed prices at checkout.
- Trials. No free trials at this time.
- Discounts/Referrals. Referral discounts may be offered and are governed by their own terms.
- Refunds (first purchase only). A 7-day money-back guarantee applies on your first subscription purchase only if utilization is 10% or less of the plan's monthly allotments or you cancel within 3 days of activation (whichever occurs first). Utilization is measured in your workspace (for example, DMs sent, clips delivered, likes performed). Otherwise, payments are non-refundable except where required by law.
6) Acceptable Use Policy (AUP)
You will not use the Services to:
- Send spam or bulk unsolicited DMs; harass, deceive, or target minors.
- Violate laws or third-party rights; share illegal, infringing, or harmful content.
- Scrape, extract, or circumvent platform protections or rate limits.
- Impersonate others or misrepresent your relationship with a person or brand.
- Benchmark, copy, or reverse engineer the Services, or perform security testing without permission.
- Violate Instagram or Meta terms or policies.
We may throttle, suspend, or terminate access for AUP violations (see Section 12).
7) Customer Content, Clips, Inputs & Outputs
Definitions. "Input" means content you or your users provide (for example, footage, briefs, prompts, targeting settings). "Output" means content or communications produced through the Services (for example, generated DM copy, edited clips, likes or engagement signals). "Clips" means the finished, edited video assets we deliver.
Ownership. You own your Input and you own the final Clips. Omni does not claim ownership over your Output or Clips.
License to Omni (service operation). You grant Omni a non-exclusive, worldwide, royalty-free, sublicensable license to host, process, edit, transcode, modify, and otherwise use your Input and Output as necessary to operate, secure, and improve the Services, and to create and deliver Clips to you.
Raw footage. You retain ownership of any raw footage you supply. You grant Omni all rights needed to edit, process, and create derivative works to produce your Clips.
Marketing & portfolio license for Clips. You grant Omni a perpetual, worldwide, royalty-free, sublicensable license to use, reproduce, publicly display, perform, and distribute your final Clips and your name or logo for Omni marketing, testimonials, case studies, and product analytics.
Aggregated/De-identified data. Omni may use de-identified or aggregated data for analytics, safety, and service improvement.
Model/AI improvement. By default, you permit Omni to use Inputs and Outputs to improve models and features. You may opt out at any time by emailing support@omniworld.app; opting out applies prospectively.
8) Output Caution & Human Review
Outputs may be incomplete or inaccurate. Do not rely on Outputs as the sole basis for legal, medical, credit, employment, or other high-stakes decisions. Maintain appropriate human review.
9) Support & Service Levels
- Support hours. Email support is available Monday through Friday, 9:00–18:00 Eastern Time (excluding US holidays).
- SLA. Best-effort uptime target; no service credits at this time.
10) Changes to Features; Third-Party Services
We may modify, discontinue, or impose limits on features with notice. The Services may rely on third-party providers (such as hosting, analytics, payments, Meta/Instagram). Your use of those services is subject to their terms.
11) Privacy & Data Protection
- Privacy Policy. Our Privacy Policy (https://omniworld.app/privacy) explains how we collect and use data.
- DPA. A Data Processing Addendum is available on request.
- Cross-border transfers. Where applicable, we use appropriate safeguards (for example, Standard Contractual Clauses) for transfers.
- Children/PHI. The Services are not intended for children under 18 or for processing Protected Health Information (PHI); we are not HIPAA-compliant.
12) Suspension & Termination
We may suspend or terminate access immediately for AUP violations, legal requirements, non-payment, or risks to the Services or others. You may cancel at any time; cancellation takes effect at the next billing period. Except where required by law or as expressly provided in Section 5, fees are non-refundable.
13) Post-Termination Data Handling
Upon termination or expiration, we retain customer content for 30 days to support export upon request, after which we may delete it. We may retain backups or copies as required for legal, regulatory, or safety purposes.
14) Intellectual Property; Brand Use by Customers
Omni and its licensors own the Services and all related intellectual property, excluding your Input and Clips. You may not copy, modify, or create derivative works of the Services. You may reference Omni's brand solely as permitted by our guidelines (no implication of endorsement, no trademark misuse, no confusingly similar marks). We may list your name and logo as a customer unless you opt out by emailing support@omniworld.app. Customers must not infringe Omni trademarks or copyrights.
15) Confidentiality
Each party may receive non-public information from the other. Each party will use reasonable care to protect the other's confidential information and will use it only for purposes of these Terms.
16) Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, OMNI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PLATFORM CHANGES, RATE LIMITS, OR ENFORCEMENT ACTIONS BY META OR INSTAGRAM ARE OUTSIDE OUR CONTROL.
17) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OMNI'S AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO OMNI FOR THE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) $100. OMNI IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.
18) Changes to These Terms; Notices; Order of Precedence
We may update these Terms. For material changes, we will provide 30 days' advance notice by email and in-app. Continued use after the effective date constitutes acceptance.
If these Terms conflict with an Order Form or other signed agreement: Order Form > these Terms > referenced policies.
19) DMCA / Copyright Policy
We respect intellectual property rights. If you believe content infringes your copyright, send a notice including all information required by 17 U.S.C. §512(c)(3) to our DMCA contact (to be appointed). Until then, send notices to kamell@omniworld.app with subject line "DMCA Notice – Omni World." We may remove content and terminate repeat infringers. Counter-notices should follow §512(g).
20) Dispute Resolution — READ THIS SECTION CAREFULLY; IT AFFECTS YOUR RIGHTS
Arbitration first (individual). Any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association (AAA) or JAMS under their Consumer Arbitration Rules.
- Seat & law. The seat of arbitration is Delaware; the tribunal will apply Delaware law (see Section 21) without regard to conflict-of-law rules.
- Process. One arbitrator; English language; remote hearings permitted unless a party shows good cause otherwise.
- Small claims. Either party may bring an individual action in a court of competent jurisdiction for matters within small-claims limits.
- Class waiver. You and Omni may bring claims only in your individual capacities and not as a class member or representative.
- Injunctive relief & enforcement. A court may enter injunctive relief to protect intellectual property or enforce or stay arbitration awards.
- Opt-out. You may opt out of arbitration within 30 days of first acceptance of these Terms by emailing support@omniworld.app with subject "Arbitration Opt-Out" and your account email.
21) Governing Law & Venue
These Terms are governed by the laws of the State of Delaware, USA. Subject to Section 20, the exclusive venue for any permitted court action is the state or federal courts located in Delaware, and you consent to personal jurisdiction there.
22) Third-Party Services & Beta
You acknowledge we use third-party processors (hosting, analytics, payments, Meta/Instagram APIs) and that their terms may apply to you. Beta or experimental features are provided as-is and may be modified or discontinued at any time.
23) Miscellaneous
- Assignment. You may not assign these Terms without our prior written consent; Omni may assign to an affiliate or in connection with a merger, acquisition, or asset transfer.
- Force Majeure. Neither party is liable for delays or failures due to events beyond reasonable control.
- Severability. If any provision is unenforceable, the remainder remains in effect.
- Entire agreement. These Terms, together with any Order Form and the Privacy Policy, form the entire agreement and supersede all prior agreements relating to the Services.
- No waiver. Failure to enforce a provision is not a waiver.
- Headings. Headings are for convenience only.
